1. Acceptance of Terms

By accessing or using EK ERP ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Ek Ra Sunya Inc ("Company", "we", "us", or "our").

If you are accepting these Terms on behalf of an organization or company ("Tenant"), you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

EK ERP is a multi-tenant Software-as-a-Service (SaaS) platform that provides HR, Payroll, and Accounting management tools for businesses. The Service is developed and operated by Ek Ra Sunya Inc, a company registered in Nepal.

The Service includes, but is not limited to:

  • Employee and contract management
  • Attendance and leave tracking
  • Payroll processing and salary payment tracking
  • Tax compliance and TDS management
  • Bank account and transfer management
  • Insurance management
  • Reporting and analytics tools

3. Account Registration and User Responsibilities

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

You must be at least 18 years of age to create an account. Accounts are not transferable without our prior written consent.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:

  • Use the Service to process, store, or transmit unlawful, harmful, or fraudulent data
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit unsolicited communications (spam)
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest any personally identifiable information from other users
  • Use automated scripts or bots to access the Service without written permission

We reserve the right to terminate or suspend access to the Service for any account found in violation of this Acceptable Use Policy.

5. Intellectual Property

The Service, including all software, technology, design, text, graphics, logos, and other content comprising the platform, is owned by Ek Ra Sunya Inc and is protected by copyright, trademark, and other intellectual property laws of Nepal and applicable international treaties.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

You retain full ownership of all data, content, and information that you or your employees upload or input into the Service ("Your Data"). We do not claim any ownership rights over Your Data.

6. Data Handling and Multi-Tenant Isolation

The Service operates on a multi-tenant architecture where each organization ("Tenant") has its own isolated data environment. We implement technical and organizational measures to ensure that:

  • Each Tenant's data is logically isolated from other Tenants' data using schema-level separation
  • No Tenant can access another Tenant's data through normal usage of the Service
  • Our staff access to Tenant data is restricted to what is necessary for service provision and support

By using the Service, you authorize us to process Your Data as necessary to provide the Service, as further described in our Privacy Policy.

7. Payment Terms

Certain features of the Service may require a paid subscription. Payment terms for paid plans will be specified at the time of purchase and will be subject to additional agreement. We reserve the right to introduce, modify, or discontinue pricing and subscription plans with reasonable notice.

All fees are non-refundable unless otherwise stated or required by applicable law. Failure to pay applicable fees may result in suspension or termination of your access to the Service.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily affects Service availability. We will make reasonable efforts to provide advance notice of scheduled downtime.

We are not liable for any damages resulting from Service outages, interruptions, or performance issues beyond our reasonable control, including but not limited to force majeure events.

9. Termination

Either party may terminate these Terms at any time. You may terminate your account by contacting us at [email protected]. We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • We are required to do so by law or a court order
  • We reasonably believe that continued access poses a risk to the Service or other users

Upon termination, your right to use the Service ceases immediately. We will provide you with a reasonable opportunity to export Your Data before deletion, subject to applicable law and our data retention policies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Ek Ra Sunya Inc and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you to the extent prohibited by applicable law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Nepal.

12. Dispute Resolution for International Users

For users located outside of Nepal, any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by arbitration in accordance with the rules of the Nepal International Arbitration Centre (NIAC) or such other internationally recognized arbitration forum as mutually agreed upon by the parties.

The arbitration shall be conducted in the English language. The arbitral award shall be final and binding upon the parties.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending an email notification to the address associated with your account
  • Displaying a prominent notice within the Service

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
